1. OVERVIEW AND AGREEMENT TO OFFICIAL RULES
The Robin Birthday Bash (the “Promotion”) is sponsored by The Robin App, Inc., a Nevada corporation, with its principal mailing address at 100 John St, New York, NY 10038 (the “Sponsor”). The Promotion consists of two (2) separate but related competitions: (i) the “Birthday Jackpot” grand prize drawing (the “Grand Prize Drawing”), and (ii) the “Goodie Bags” referral leaderboard competition (the “Leaderboard Competition”). By participating in the Promotion, each Entrant (as defined below) unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of the Sponsor, which shall be final and binding in all matters relating to the Promotion. The Promotion is subject to all applicable federal, state, and local laws and regulations. Participation constitutes Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions and interpretations, which are final and binding in all matters related to the Promotion.
2. ELIGIBILITY
The Promotion is open to legal residents of the fifty (50) United States and the District of Columbia who are thirteen (13) years of age or older at the time of entry. Entrants who are between the ages of thirteen (13) and seventeen (17) (each, a “Minor Entrant”) must have verifiable parental or legal guardian consent to participate. By allowing a Minor Entrant to participate, the parent or legal guardian agrees to be bound by these Official Rules on behalf of such Minor Entrant and shall be responsible for all activities of the Minor Entrant in connection with the Promotion.
Sponsor reserves the right to verify eligibility and to adjudicate on any dispute at any time. Participation in the Promotion constitutes the Entrant’s representation and warranty that they meet the eligibility requirements set forth herein. If a Minor Entrant is selected as a winner, the prize will be awarded in the name of the Minor Entrant’s parent or legal guardian. Sponsor may require proof of parental or legal guardian consent prior to awarding any prize to a Minor Entrant.
Employees, officers, directors, agents, and representatives of Sponsor, and their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, and any entity involved in the development, production, implementation, administration, judging, or fulfillment of the Promotion (collectively, the “Promotion Entities”), and the immediate family members (defined as spouse, parents, siblings, children, and their respective spouses, regardless of where they reside) and household members (whether or not related) of each such individual are not eligible to participate in the Promotion.
3. PROMOTION PERIOD
The Promotion begins on February 28, 2026, at 12:00:00 AM Eastern Time (“ET”) and ends on August 11, 2026, at 11:59:59 PM ET (the “Promotion Period”). Entries received before or after the Promotion Period will not be eligible. Sponsor’s computer or designated timekeeping device shall be the official timekeeper for all purposes related to the Promotion. Sponsor reserves the right to extend or shorten the Promotion Period at its sole discretion, provided that such change is communicated to Entrants through the Robin mobile application (the “App”).
The Services are offered for use only in the United States, Canada, and Mexico. You represent that you are located in a jurisdiction where the Services are offered. Use of the Services outside these countries is at your own risk, and we make no representations about compliance with local laws outside these regions.
4. HOW TO ENTER
There are multiple methods of entry into the Promotion. Each method of entry is described in detail below. An individual who enters the Promotion by any method is referred to herein as an “Entrant.” All Entrants must have a valid account on the App to participate in the Promotion (except for the Alternative Method of Entry described in Section 4.4).
4.1 SMS Referral Entry Method
During the Promotion Period, an Entrant may earn entries into the Birthday Jackpot Grand Prize Drawing by referring new users to the App via a unique SMS referral link generated within the App. When a referred individual (“Referred User”) successfully (a) creates a valid account on the App using the unique SMS referral link, AND (b) enters at least one (1) sweepstakes or giveaway listed within the App, the referring Entrant will receive a variable number of entries into the Grand Prize Drawing based on the number of mutual contacts (“F”) between the Entrant and the Referred User, as determined by the App’s contact-matching algorithm. The entry allocation tiers are as follows:

Additionally, the Referred User who successfully creates an account and enters at least one (1) sweepstakes or giveaway within the App shall also receive entries into the Grand Prize Drawing based on the same mutual contacts tier structure set forth above, calculated based on their mutual contacts with the referring Entrant.
4.2 Shareable Web Link Entry Method
During the Promotion Period, an Entrant may also earn entries into the Birthday Jackpot Grand Prize Drawing by sharing a unique referral link generated within the App (the “Shareable Link”) via the internet, social media platforms, messaging applications, email, or any other digital medium. When a referred individual successfully (a) creates a valid account on the App using the Entrant’s Shareable Link, AND (b) enters at least one (1) sweepstakes or giveaway listed within the App, the referring Entrant shall receive five (5) entries into the Grand Prize Drawing per qualified referral.
The Referred User who joins via a Shareable Link and completes the qualifying actions described above shall also receive five (5) entries into the Grand Prize Drawing.
4.3 Entry Stacking and Maximum Entry Cap
Entrants may utilize both the SMS Referral Entry Method (Section 4.1) and the Shareable Web Link Entry Method (Section 4.2) concurrently. Entries earned from both methods shall accumulate toward the Entrant’s total entry count. Each Entrant is subject to a maximum aggregate cap of ten thousand (10,000) entries across all entry methods combined (the “Entry Cap”). Once an Entrant reaches the Entry Cap, no additional entries will be credited to that Entrant regardless of further qualifying referral activity.
4.4 Alternative Method of Entry (“AMOE”) – No App Required
To enter the Grand Prize Drawing without downloading the App or referring any users, an eligible individual may submit a handwritten entry by mailing a 3” x 5” card or piece of paper containing the following information to the address listed below:
• Full legal name
• Complete mailing address (street, city, state, ZIP code)
• Date of birth
• Valid email address
• Valid phone number
• Handwritten statement: “Please enter me in the Robin Birthday Bash Birthday Jackpot.”

Each valid mail-in entry will receive five (5) entries into the Grand Prize Drawing. Limit one (1) mail-in entry per person per stamped outer mailing envelope. Mail-in entries must be postmarked no later than August 4, 2026, and received no later than August 11, 2026. Sponsor is not responsible for lost, late, illegible, misdirected, damaged, incomplete, or postage-due mail. Mail-in entries that do not comply with these requirements will be void. Mail-in entries are not eligible for the Goodie Bags Leaderboard Competition described in Section 5.2. Proof of mailing does not constitute proof of delivery.
4.5 Leaderboard Competition Entry (Goodie Bags)
Participation in the Goodie Bags Leaderboard Competition is automatic for all Entrants who refer at least one (1) qualifying user via either the SMS Referral Entry Method (Section 4.1) or the Shareable Web Link Entry Method (Section 4.2). The Leaderboard Competition ranking is determined solely by the total number of unique Referred Users who (a) successfully create a valid account on the App using the Entrant’s referral link (SMS or Shareable Link), AND (b) enter at least one (1) sweepstakes or giveaway listed within the App during the Promotion Period. For the avoidance of doubt, the Leaderboard Competition does not use the variable entry tier system described in Section 4.1; rather, it is based purely on the raw count of qualifying referrals.
5. PRIZES
Some features of the Services require a paid subscription. By subscribing, you agree to pay the fees in effect for your subscription plan (as disclosed to you at sign-up) in U.S. dollars (or local equivalent) through the payment method you provide. Payment is processed through third-party payment processors (e.g. app store billing, credit card, PayPal) and is subject to their terms and policies. You authorize us (or our payment processors) to charge your chosen payment method for all subscription fees, including any applicable taxes or currency conversion fees. Prices and subscription terms are subject to change; if we change our fees, we will notify you in accordance with Section 7 below.
If we are unable to process a payment (e.g. expired card, declined transaction), we may suspend or terminate your access to paid features until payment is resolved. It is your responsibility to maintain payment information. We do not guarantee any refunds except as expressly provided in Section 8 (Refund & Giveaway Guarantee Policy).
5.1 Birthday Jackpot Grand Prize
One (1) Grand Prize: One Thousand Dollars ($1,000.00 USD). The Grand Prize winner will be selected by random drawing from among all eligible entries received during the Promotion Period. The odds of winning the Grand Prize depend on the total number of eligible entries received.
5.2 Goodie Bags Leaderboard Prizes
The following prizes will be awarded to the top fifty (50) Entrants on the Goodie Bags Leaderboard at the conclusion of the Promotion Period:

5.3 Goodie Bags Leaderboard Prizes
All prizes are non-transferable, non-assignable, and no substitution or cash equivalent is permitted except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value if the advertised prize is unavailable for any reason. All federal, state, and local taxes on prizes are the sole responsibility of the winners. Winners who receive prizes with an aggregate value of Six Hundred Dollars ($600.00) or more in a calendar year will be required to provide Sponsor with a completed IRS Form W-9 (or W-8BEN for non-resident aliens, if applicable) prior to receiving their prize. Sponsor will issue an IRS Form 1099-MISC (or other applicable tax form) to any winner receiving prizes valued at $600.00 or more. Failure to provide required tax documentation within thirty (30) days of request may result in forfeiture of the prize.
Prizes will be fulfilled via PayPal or Venmo, at the winner’s election. Winners must have or create a valid PayPal or Venmo account to receive their prize. Sponsor will attempt to contact each winner and fulfill prizes within thirty (30) days following the conclusion of the Promotion Period. If a winner cannot be contacted or fails to respond to Sponsor’s notification within fourteen (14) days of the initial contact attempt, or if any prize notification is returned as undeliverable, the winner may be disqualified and an alternate winner may be selected (by random drawing in the case of the Grand Prize, or by the next eligible position on the Leaderboard in the case of Leaderboard prizes).
6. WINNER SELECTION AND NOTIFICATION
6.1 Birthday Jackpot Grand Prize Drawing
On or about August 18, 2026, the Sponsor will conduct a random drawing from among all eligible entries received during the Promotion Period to select one (1) potential Grand Prize winner. The random drawing will be conducted using a computerized random selection method. The potential winner will be notified via the email address associated with their App account (or the email address provided on their mail-in entry, as applicable) and/or via push notification within the App. The potential winner must respond to the notification within fourteen (14) days of the date of notification to claim the prize. Failure to respond within the specified timeframe, or the return of any prize notification as undeliverable, will result in forfeiture of the prize, and an alternate winner may be selected by random drawing from the remaining eligible entries.
6.2 Goodie Bags Leaderboard Winner Determination
Leaderboard positions will be determined based on each Entrant’s total count of qualifying referrals as of the conclusion of the Promotion Period (August 11, 2026, at 11:59:59 PM ET). In the event of a tie between two or more Entrants for any Leaderboard position, the tie will be broken in favor of the Entrant who first reached the tied referral count, as determined by Sponsor’s records. Leaderboard winners will be notified via the email address associated with their App account and/or via push notification within the App within fourteen (14) days following the conclusion of the Promotion Period.
6.3 Winner Verification
All potential winners are subject to verification of eligibility and compliance with these Official Rules. Potential winners may be required to sign and return an Affidavit of Eligibility, a Liability Release, and (where permitted by law) a Publicity Release within fourteen (14) days of notification. In the case of a Minor Entrant, the Affidavit of Eligibility and all required releases must be signed by the Minor Entrant’s parent or legal guardian. If a potential winner fails or refuses to sign and return any required documents within the specified timeframe, the potential winner may be disqualified and an alternate winner may be selected.
7. REFERRAL INTEGRITY AND ANTI-FRAUD PROVISIONS
Sponsor reserves the right, in its sole discretion, to disqualify any Entrant who Sponsor determines or reasonably believes has attempted to undermine the legitimate operation of the Promotion by any means, including but not limited to:
• Creating or using fake, temporary, disposable, or fraudulent accounts to generate referrals;
• Using automated means, scripts, bots, or other programmatic methods to generate referrals or entries;
• Offering monetary payment, gifts, or other incentives to individuals in exchange for creating accounts or entering sweepstakes;
• Referring oneself using multiple devices, phone numbers, email addresses, or identities;
• Manipulating or attempting to manipulate the contact-matching algorithm or mutual contacts count;
• Engaging in any form of collusion, coordination, or organized activity designed to artificially inflate referral counts or entries;
• Any other activity that Sponsor deems to be an attempt to circumvent, manipulate, or undermine the intended operation of the Promotion.
Sponsor reserves the right to void entries, remove Entrants from the Leaderboard, revoke previously awarded entries, and/or disqualify Entrants at any time during or after the Promotion Period if Sponsor determines, in its sole discretion, that such Entrant has engaged in prohibited activity. Sponsor’s decisions regarding suspected fraud are final and not subject to appeal.
8. INTELLECTUAL PROPERTY AND CONTENT RIGHTS
By participating in the Promotion, each Entrant grants to Sponsor a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, publish, distribute, and display the Entrant’s name, likeness, photograph, biographical information, city and state of residence, and any statements made by or attributed to the Entrant in connection with the Promotion, in any and all media now known or hereafter devised, for advertising, promotional, trade, and any other purposes, without further compensation, notification, permission, or approval, unless prohibited by law. For Minor Entrants, this license is granted by the Minor Entrant’s parent or legal guardian on behalf of the Minor Entrant.
9. PRIVACY AND DATA COLLECTION
By participating in the Promotion, each Entrant acknowledges and agrees that Sponsor may collect, use, and disclose personal information submitted in connection with the Promotion for the purposes of administering the Promotion, including eligibility verification, entry processing, winner selection, prize fulfillment, and tax reporting. Personal information collected in connection with the Promotion will be treated in accordance with Sponsor’s Privacy Policy, available within the App.
Entrants acknowledge that by using the SMS Referral Entry Method, the App will access the Entrant’s device contacts solely for the purpose of identifying mutual contacts between the Entrant and the Referred User in order to calculate the applicable entry tier. Contact data is processed in accordance with Sponsor’s Privacy Policy and applicable law.
COPPA Compliance: Sponsor is committed to complying with the Children’s Online Privacy Protection Act (“COPPA”). If Sponsor becomes aware that personal information has been collected from a child under the age of thirteen (13) without verifiable parental consent, Sponsor will take steps to delete such information. For Entrants between the ages of thirteen (13) and seventeen (17), Sponsor may require verifiable parental consent before collecting, using, or disclosing the Minor Entrant’s personal information in connection with the Promotion.
10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BY PARTICIPATING IN THE PROMOTION, EACH ENTRANT AGREES TO RELEASE, DISCHARGE, INDEMNIFY, AND HOLD HARMLESS THE SPONSOR, THE PROMOTION ENTITIES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE “RELEASED PARTIES”) FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, COSTS, EXPENSES, OR LIABILITY (INCLUDING REASONABLE ATTORNEYS’ FEES) ARISING OUT OF OR RELATING TO:
• Participation in the Promotion or any Promotion-related activity;
• The acceptance, possession, use, misuse, or non-use of any prize;
• Any technical failures, errors, omissions, interruptions, deletions, defects, delays, or malfunctions in the operation of the Promotion, including but not limited to hardware, software, or network failures;
• Unauthorized human intervention in any part of the Promotion;
• Any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Promotion or receipt or use of any prize;
• Any typographical, printing, or human error in any materials associated with the Promotion.
IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PROMOTION, REGARDLESS OF THE FORM OF ACTION OR THE THEORY OF LIABILITY, EVEN IF THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE RELEASED PARTIES’ TOTAL AGGREGATE LIABILITY TO ANY ENTRANT IN CONNECTION WITH THE PROMOTION SHALL NOT EXCEED THE VALUE OF THE PRIZE(S) THAT THE ENTRANT IS ELIGIBLE TO RECEIVE.
11. DISPUTE RESOLUTION AND GOVERNING LAW
11.1 Governing Law
These Official Rules and any disputes arising out of or relating to the Promotion shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of laws provisions.
11.2 Mandatory Arbitration
Except where prohibited by law, as a condition of participating in the Promotion, each Entrant agrees that any and all disputes, claims, and causes of action arising out of or connected with the Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action, exclusively by binding arbitration under the rules of the American Arbitration Association (“AAA”) then in effect. The arbitration shall be conducted in the State of Nevada. Judgment on the arbitration award may be entered in any court having jurisdiction thereof.
11.3 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH ENTRANT AGREES THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND NO ENTRANT WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, A REPRESENTATIVE ACTION, A COLLECTIVE ACTION, A PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH THE ENTRANT ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. NO ARBITRATION OR PROCEEDING MAY BE COMBINED WITH ANOTHER WITHOUT THE PRIOR WRITTEN CONSENT OF ALL PARTIES.
11.4 Statute of Limitations
Any claim relating to the Promotion must be filed within one (1) year after the cause of action arises. Claims filed after this period shall be permanently barred.
App Store and Google Play Terms
- Usage: The mobile App is licensed to you for use on iOS or Android devices as permitted by the platform (Apple's App Store or Google Play) and subject to the platform's rules.
- Maintenance and Support: Robin is responsible for providing any maintenance or support for the App as required by law or agreement. The App distributors (Apple/Google) have no obligation to furnish any maintenance or support.
- Warranties and Liability: If the App fails to conform to any applicable warranty, you may notify the App distributor. The distributor may refund the purchase price you paid for the App (if any). Any claims or remedies must be directed to Robin, not Apple/Google. You agree that Apple/Google have no liability for the App or your use of it.
- Compliance: You must comply with all third-party terms (e.g. Apple's or Google's) when using the App.
12. GENERAL CONDITIONS
12.1 Right to Cancel, Modify, or Suspend
Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Promotion (or any part thereof) at any time and for any reason, including but not limited to fraud, technical failures, or any other factor beyond Sponsor’s reasonable control that impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. In the event of cancellation or early termination, Sponsor may, in its sole discretion, select winners from among all eligible, non-suspect entries received prior to such cancellation or termination.
12.2 Binding Effect
These Official Rules are binding upon all Entrants and their respective heirs, executors, administrators, legal representatives, successors, and assigns.
12.3 Severability
If any provision of these Official Rules is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of such provision.
12.4 Waiver
The failure of Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. No waiver of any breach of these Official Rules shall be deemed a waiver of any subsequent breach.
12.5 Entire Agreement
These Official Rules constitute the entire agreement between each Entrant and Sponsor with respect to the Promotion, and supersede all prior or contemporaneous understandings, representations, negotiations, discussions, and agreements, whether written or oral, between the parties with respect to the subject matter hereof.
12.6 Force Majeure
Sponsor shall not be liable for any delay or failure to perform any obligation hereunder due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, epidemics, pandemics, governmental orders or regulations, civil unrest, fire, flood, earthquake, natural disaster, labor dispute, internet or telecommunications failure, cyber-attack, power outage, or any other event beyond Sponsor’s reasonable control.
13. INDEMNIFICATION
Each Entrant agrees to indemnify, defend, and hold harmless the Released Parties from and against any and all third-party claims, demands, suits, actions, causes of action, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) the Entrant’s participation in the Promotion; (b) the Entrant’s breach of these Official Rules; (c) any misrepresentation made by the Entrant in connection with the Promotion; or (d) the Entrant’s violation of any applicable law, rule, or regulation.
14. PUBLICITY AND WINNERS LIST
Except where prohibited by law, each winner grants Sponsor the right to use and publish their first name, last initial, city, and state of residence, and the prize won, for promotional and advertising purposes in connection with the Promotion in any media now known or hereafter devised, without further compensation, notice, review, or consent.

Winner list requests must be received within ninety (90) days after the conclusion of the Promotion Period. Vermont residents may omit return postage. Winner list requests will be fulfilled after all winners have been verified and all prizes have been awarded.

17. ACKNOWLEDGMENT AND ACCEPTANCE
By participating in the Promotion, each Entrant acknowledges that they have read, understand, and agree to be bound by these Official Rules, including the mandatory arbitration provision and class action waiver set forth in Section 11. For Minor Entrants, participation constitutes the parent’s or legal guardian’s acknowledgment and acceptance of these Official Rules on behalf of the Minor Entrant.
